Terms & Conditions of Service

  1. Agreement: These Terms & Conditions constitute a legally binding agreement between the client (“you”) and Inventiva Creative Studio (“us”, “we”, “our”) concerning the provision of social media management services (“Services”) as outlined in the chosen package.

  2. Retainer Basis: Our Services are provided on a retainer basis. By agreeing to these Terms & Conditions, you commit to retaining our Services for the duration specified in your chosen package.

  3. Payment Terms: Invoices for our Services will be sent out on the 25th of each month and must be paid in full by the first of the following month. Failure to make payment by the due date may result in service interruptions. We reserve the right to suspend or terminate the Services if payment is not received in a timely manner.

  4. Missed Posts: In the event a scheduled post is missed due to technical difficulties or other factors beyond our control, we will endeavour to catch up on the missed post(s) during the next available weekend or at a time mutually agreed upon with the client. We will not be held liable for any loss or damages arising from missed posts.

  5. Cancellation: Should you wish to cancel our Services, written notice must be provided at least 30 days in advance. Cancellations made within the 30-day notice period may be subject to additional charges.

  6. Content Ownership: All content created by us as part of the Services, including but not limited to text, images, and templates, remains our property until full payment has been received. Once payment is made, the client is granted a non-exclusive, royalty-free license to use the content for the purpose of promoting their business on the agreed-upon social media platforms.

  7. Limitation of Liability: We shall not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use of our Services, including but not limited to loss of profits, goodwill, or data.

  8. Indemnification: You agree to indemnify and hold harmless Inventiva Creative Studio, its employees, agents, and representatives from any claims, liabilities, damages, or expenses, including reasonable legal fees, arising out of or in connection with your use of our Services.

  9. Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of Australia.

  10. Amendments: We reserve the right to amend these Terms & Conditions at any time without prior notice. Continued use of our Services after any such changes shall constitute your consent to the updated Terms & Conditions.
